Your agreement with OrgSync

These terms are between Fushimi AI Inc, based in Halifax, Nova Scotia, Canada (OrgSync, we or us) and the company or organization using the service (the customer or you). The person accepting for the customer confirms they have authority to do so. Members must follow these terms too.

A separate pilot agreement applies only if your company enters one. If it conflicts with these terms, that agreement takes precedence.

Accounts and access

  • OrgSync is for business use by people aged 18 or older. Use your own account and keep your sign-in details secure.
  • Owners manage membership, permission profiles, billing and company deletion. A responsibility or job title does not itself grant decision-making authority.
  • Invitation links are restricted to the invited email address and expire after 7 days. Web sessions end after 12 hours without use, or after 7 days in any case.
  • You are responsible for your members' use of OrgSync and for the AI apps and connections you authorize.

What the service does

OrgSync stores company knowledge, goals and weekly reviews and supplies permitted context to members' connected AI apps. Your AI app writes its own answers. OrgSync does not automatically capture conversations or read your other tools.

  • A submitted draft is private to its author. Sharing requires confirmation of its exact version through OrgSync's prompt or an explicit yes in chat, depending on the connection.
  • Only Owners and Decision approvers may accept decisions or approve corrections. Source changes use the confirmation method supported for that action and connection. Source deletion requires OrgSync's prompt.
  • Goals, saved weekly reviews and collaboration requests, responses, blockers, selected evidence and history are company-readable. Confidential or participant-only work belongs outside this collaboration feature. Saving a review does not make its selected drafts accepted company decisions.
  • Peers request agreement. A current direct or higher reporting manager can assign contributions within the same company chain. Acknowledging an assignment records receipt and does not agree its terms. Reviewing a contribution does not complete its goal or accept a company decision. Only an Owner changes reference-framework selections; selection does not adopt a company rule.
  • When a person tells their AI app they have acknowledged an assignment, started work asked of them or cleared a blocker they reported, OrgSync saves that update without a separate confirmation and labels it in the request's history; an Owner can require confirmation for these updates, and a manipulated AI could record one the person did not intend.
  • Calendar downloads contain the selected titles, dates and links as a snapshot. Evidence and full responses are excluded. Later changes in OrgSync do not update or recall imported copies; linked records still require current access.
  • Company files are stored with the access their folder sets. Owners can always open every folder. Folder access controls who can open a file in OrgSync; it cannot recall copies already downloaded or read by an AI app. Moving a file to another folder changes who can open it.
  • On the web, a signed-in person may approve the requests of AI employees they are responsible for, one at a time or several routine ones together; answer requests and decision requests sent to them; ask AI employees they are responsible for or manage to do work; move their own work; record check-ins on their goals; and keep their own to-dos. Each of these is that person's own act, recorded with what was shown. Sharing your own draft, knowledge-status changes, correction decisions and deletions still use your AI app's confirmation.
  • An AI relays your confirmation on chat-confirmation connections. A manipulated AI could act without your intended approval. Use OrgSync's own prompt where your app supports it.

You remain responsible for decisions and actions taken using the service. An accepted-decision status records a company judgment; it does not guarantee that the underlying information is true.

Your content and our use of it

As between the customer and OrgSync, the customer retains its rights in the content it provides: drafts, shared sources, company files, company details, work profiles, goals, reviews and related records.

You grant us a limited, non-exclusive licence to store, copy, process, index and transmit that content to provide, secure, recover and support OrgSync as you direct. This includes necessary processing by our service providers and delivery to the AI apps your members connect. The licence ends when content is deleted, except for backup copies until they expire.

We do not sell your content, use it for advertising or use it to train AI models. Share only material you have the right to share. You are responsible for required permissions and notices.

We use content-free usage records, such as counts, timings, costs and usefulness verdicts, to operate, bill for and improve OrgSync. If you voluntarily send product ideas or feedback, we may use them without compensation.

AI apps and AI-generated answers

Your AI app and its provider are separate services with their own terms. They receive the context you request from OrgSync. We cannot control or recall copies they receive, or copies you export.

AI output can be wrong, incomplete, outdated or misleading, even with citations. Review sources and use your own judgment before relying on an answer, especially for legal, financial, medical, safety or employment decisions.

Removing a member or revoking a connection stops future access. It cannot erase information already received.

Acceptable use

You must not use OrgSync to:

  • break the law, infringe rights, or share material without authority;
  • share passwords, credentials, payment card or bank account numbers, government identification numbers, health information or information about children, in drafts, files or any other content;
  • access another company, another person's private drafts, or any account or system without authorization;
  • test, scan or probe our security without written permission;
  • evade billing or usage limits, distribute malware, or submit content intended to bypass a person's approval;
  • overload the service or resell it without written permission.

Report security concerns as described at orgsync.co/security.

Plans, credit and payment

  • Plans. Standard costs $25, Pro $100 and Max $200 per company per month, in US dollars. Monthly included credit equals the plan price. There is no per-member charge.
  • Storage. Each plan includes storage for company files: 5 GB on Standard, 25 GB on Pro and 50 GB on Max. A free trial includes its plan's storage and no more. On a paid plan, storage above the included amount is charged from company credit at the rate shown in Billing, measured once a day, up to four times the plan's included amount. Uploads stop at that limit, or when company credit cannot cover 30 days of the extra storage, until files are deleted, credit is added or the plan changes. Nothing is charged for storage after paid access ends; without paid access a company can still open, download and delete its files but cannot add new ones.
  • Paid usage. Credit pays 10¢ for each shared update that finishes processing and 1¢ for each request that returns cited company context. Saving drafts, goals, weekly reviews and structured collaboration records is free; publishing drafts selected in a review is charged when they finish processing. Exact-source lookups and other free record reads remain free.
  • Stories. Automatic stories use credit for the AI work that writes and selects them, at the AI provider's verified cost plus 30%. This includes provider-billed attempts that fail, are rejected or find no stories. There is no charge per story, view, like or comment. Spending stays within a monthly stories budget that owners can change or turn off. It defaults to 30% of the period's included or free-trial credit, and top-ups do not raise it.
  • Home brief. The short brief on Home uses credit for the AI work that writes it, at the AI provider's verified cost plus 30%. This includes provider-billed attempts that fail or are rejected. It is written when someone opens Home and rewritten only while Home is open and its records have changed, at most once every 45 minutes and five times a day per person. Spending stays within a monthly brief budget of 5% of the period's included or free-trial credit, and top-ups do not raise it.
  • Credit holds. We reserve credit before paid work starts and charge it when the billable result is ready or delivered. Failed or cancelled work releases its hold, except that a Stories or Home brief attempt the AI provider billed is charged as described above. If the outcome is uncertain, credit may stay reserved until we reconcile it.
  • Monthly credit. Unused included credit expires at the end of its billing period.
  • Top-ups. Owners can buy extra credit, at least $10 at a time. It carries between periods and expires 6 calendar months after purchase. It can be spent only while the company has paid access.
  • Payment. Stripe processes payments. Plans renew monthly until cancelled. The free trial requires a card and charges nothing until it ends. Prices and credit are in US dollars, even if Stripe displays a local-currency equivalent. Prices exclude applicable taxes; OrgSync charges none today.
  • Plan changes. A plan switch applies immediately, with payment and included credit prorated for the remaining period. A downgrade is refused if the company has already used more included credit than the new plan allows for that period.
  • Payment failure. A failed renewal pauses paid processing and grants no new credit.
  • Price changes. We email owners at least 30 days before increasing a plan price or usage rate. Work already admitted uses the rate at which its credit was reserved. A decrease may apply immediately.

Cancellation and refunds

You can cancel renewal in Settings › Billing at any time before the next renewal. Your subscription and access continue until the end of the period you have already paid for, subject to your remaining credit and these terms. We will not charge further renewals after cancellation.

Payments are non-refundable, except where required by law. This includes subscription fees, unused monthly or top-up credit, and credit remaining when a company is deleted or we end the service. Cancellation stops future renewals; it does not refund an amount already paid.

Credit has no cash value and cannot be transferred. Free-trial credit cannot be refunded. Nothing in these terms excludes rights or remedies that applicable law does not allow us to exclude.

Free trial

An eligible owner can start one free trial on Standard or Pro. Starting it requires a payment card through Stripe, and nothing is charged when it starts. It lasts 7 days and provides $5 on Standard or $15 on Pro, rather than the plan's normal monthly credit.

When the trial ends, it becomes a paid subscription to that plan: Stripe charges the plan's monthly price to the card, the plan's monthly included credit begins, and the plan renews monthly until cancelled. To avoid the charge, cancel in Settings › Billing before the trial ends; the trial then continues to its end and nothing is charged. We email the owner who started the trial about 2 days before it ends. If the first charge fails, paid features stay paused until it succeeds.

There is one free trial per company and per owner, only before a company has subscribed or had a free trial. Max has no free trial. Unused trial credit expires when the trial ends. A free week started before this update keeps its original terms and does not become a paid subscription automatically.

Availability and support

OrgSync is an early service. Features may change, and we provide it on a best-effort basis without a promised uptime, response time or recovery time. Outside-provider outages may affect it.

About weekly, and before database changes, we take a recovery point that temporarily stops the service. When possible, we email owners at least 24 hours before planned downtime. Changes after a recovery point may be lost if we restore it.

Support is available by email at support@orgsync.co (Monday to Friday, 9:00–17:00 Toronto time), on a best-effort basis without a promised response time.

Suspension and ending the service

We may suspend access for a terms violation, security risk, payment failure or legal requirement. We will notify you first where reasonably possible and restore access when the cause is resolved.

We may end this agreement or the service with at least 30 days' email notice to owners, followed by the export window below. Serious or repeated violations may lead to immediate termination. The non-refundable payment policy applies, subject to applicable law.

An owner may cancel renewal and then delete the company's content in Settings › Data.

Export and deletion

  • Any member may export company-shared sources, with history and status, as JSON, Markdown or a ZIP archive from Settings › Data. Exports do not include private drafts or to-dos. The ZIP archive also includes the company files that member may open, and members can download each file from the Files page.
  • Deleting a source or the company stops access at once. We remove active copies, aiming to finish within 7 days. Backups that contain them expire within 30 days after that.
  • When paid access ends, you have 30 days to export or restart the plan. We then delete company content under the same rules. Backup copies can remain for up to 67 days after paid access ends.
  • Unshared draft text expires 14 days after creation or its last explicit edit.
  • A company that has never had paid access, or whose free trial ended without a plan, keeps its content until an owner deletes it. OrgSync may delete a company that has gone 90 days without paid access or a free trial, after emailing its owners at least 14 days before.
  • We retain accounts, membership and invitation records, content-free usage records, and the billing, audit and recovery records described in the Privacy notice.

We cannot delete copies already exported or delivered to an AI app.

Confidentiality

Each side keeps the other's confidential information confidential, uses it only for this agreement and protects it with reasonable care. Your company content is confidential. Our non-public product and security information is confidential.

This excludes information that is lawfully public, already known, received lawfully from another party or independently developed. Either side may disclose information when required by law, with notice where allowed.

Our operator can technically reach stored data while running OrgSync, for example when taking or testing a recovery point. We access content only to operate, secure, recover or support OrgSync, at your request, or when the law requires it.

Warranties and liability

To the extent allowed by law, OrgSync is provided as is and as available, without warranties of accuracy, fitness for a particular purpose, or uninterrupted or error-free operation.

Neither side is liable for indirect, incidental, special or consequential losses, or lost profits, revenue or data, to the extent allowed by law.

Each side's total liability under these terms is limited to the greater of the fees paid to OrgSync in the 3 months before the event and CAD $100. These limits do not apply where the law does not permit them, including to fraud or wilful misconduct.

Changes to these terms

We will email owners at least 30 days before a material change takes effect and update the date above. Continued use after that date accepts the change. If you disagree, you can cancel before it takes effect, under the cancellation and refund rules above.

Governing law and other terms

The laws of Nova Scotia and the applicable federal laws of Canada govern this agreement. The courts in Halifax, Nova Scotia have exclusive jurisdiction, subject to rights that cannot legally be waived.

These terms, the Privacy notice and any applicable pilot agreement form the agreement. The draft data processing agreement at orgsync.co/dpa is not part of it while its draft notice remains.

You may not transfer this agreement without our written consent. We may transfer it with notice as part of a reorganization or sale. If a provision is unenforceable, the rest continues. A failure to enforce a provision is not a waiver.

Neither side is responsible for delays caused by events beyond its reasonable control.
